License and conduct rules for individual access to the ClassQuip browser-native virtual classroom application.
Agreement to this EULA
PLEASE READ THIS END USER LICENSE AGREEMENT (“EULA” OR “AGREEMENT”) CAREFULLY BEFORE ACCESSING OR USING THE CLASSQUIP PLATFORM.
THIS EULA IS A LEGAL AGREEMENT BETWEEN YOU (“END USER,” “YOU,” OR “YOUR”) AND CLASSQUIP INC. (“CLASSQUIP,” “WE,” “US,” OR “OUR”) GOVERNING YOUR INDIVIDUAL USE AND ACCESS TO THE CLASSQUIP BROWSER-NATIVE VIRTUAL CLASSROOM APPLICATION AT CLASSQUIP.COM (THE “APPLICATION”).
BY ACCESSING, LOGGING INTO, OR USING THE APPLICATION—WHETHER AS A TEACHER, INSTRUCTOR, STUDENT, SCHOOL ADMINISTRATOR, OR GUEST PRESENTER—YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE APPLICATION.
1. Grant of license & scope
1.1 Limited license — Subject to your compliance with this EULA and the Master Services Agreement executed by your contracting Educational Institution or District (“District”), ClassQuip grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Application solely for authorized educational purposes.
1.2 Browser-native & device scope — The Application is a browser-native software service accessed via standard, WebRTC-enabled web browsers (such as Google Chrome, Mozilla Firefox, Apple Safari, or Microsoft Edge) on personal computers, laptops, tablets, or school-issued devices (including ChromeOS devices/Chromebooks). No local software installation, executable files, or native desktop applications are required or licensed under this EULA.
2. User roles & account eligibility
2.1 Roster-based access — Access to the Application is restricted to authorized users rostered directly by a contracting District or school via single sign-on (SSO), LTI 1.3, ClassLink, or OneRoster integration. You may not create unauthorized accounts or share login credentials with third parties.
2.2 Student & minor accounts — If you are a student accessing the Application, your account is managed directly by your school or teacher under applicable state and federal educational privacy standards (including FERPA and COPPA). You agree to use your account strictly for participating in assigned live classrooms, instruction, and course activities.
3. Acceptable use & conduct rules
To maintain a safe, productive, and compliant learning environment, all users must adhere to strict behavioral and technical conduct standards when participating in live sessions, chat rooms, polls, or whiteboards.
3.1 Student & participant conduct rules — When using the Application, you shall NOT: post inappropriate content (upload, share, transmit, or display any content that is obscene, vulgar, sexually explicit, hateful, abusive, threatening, or illegal); engage in bullying or harassment (intimidate, harass, threaten, defame, impersonate, or cyberbully any student, teacher, administrator, or guest presenter); spam or disrupt class (flood or spam classroom chat feeds, abuse live polling tools, manipulate interactive whiteboards, or disrupt live audio/video streams); or use unapproved commercial use (use live classrooms or chat tools to solicit products, run commercial advertisements, or distribute unauthorized links/spam).
3.2 Technical restrictions — You shall NOT: copy, modify, adapt, or create derivative works of the Application or its underlying code; attempt to probe, scan, or test the vulnerability of the Application, custom AWS WebRTC streaming engine, or network protocols; use automated tools, scrapers, bots, or scripts to access or extract data from classquip.com; or capture, record, screenshot, or redistribute audio, video, or chat logs of other students or instructors unless specifically authorized in writing by the host District.
4. Account termination, suspension & district notice
4.1 Violation of terms — ClassQuip reserves the right to immediately suspend or terminate your access to the Application if you violate any provision of this EULA, engage in prohibited conduct, or compromise the security and stability of the platform.
4.2 Notice to district administrator — In the event that an end user’s account is flagged, suspended, or terminated due to misconduct, harassment, or security violations, ClassQuip will promptly notify the designated District or School Administrator. The District administrator maintains ultimate authority over student and staff disciplinary actions and roster status.
5. Intellectual property rights
All rights, title, and interest in and to the Application—including its software code, user interface design, custom WebRTC infrastructure, branding, logos, and interactive instructional tools—remain the exclusive intellectual property of ClassQuip Inc. and its licensors.
Educational materials, teacher-created decks, and student work submitted during a live session remain the property of the user or District in accordance with the District’s Master Services Agreement and Privacy Policy.
6. Disclaimer of warranties
THE APPLICATION IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLASSQUIP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CLASSQUIP DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY FREE OF TECHNICAL LAG ON UNSTABLE HOME NETWORKS.
7. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLASSQUIP INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APPLICATION.
8. Governing law & general terms
This EULA shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to its conflict of law principles. Any legal action or proceeding arising under this EULA shall be brought in accordance with the dispute resolution and binding arbitration provisions set forth in the ClassQuip Master Services Agreement.
